By accessing or using the VIUS Accounting website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Services

VIUS Accounting provides the following services:

• Bookkeeping Services: Recording financial transactions, reconciliations, and financial reporting
• Tax Preparation: Preparation of income tax returns, GST returns, and other tax filings
• Company Registration: Assistance with business entity formation and document filing
• Payroll Processing: Payroll calculations, filings, and compliance
• Compliance Services: Statutory filings, annual returns, and regulatory compliance
• Advisory Services: Financial planning and fractional CFO services

3. Scope of Services and Limitations

What We DO:

• Prepare and maintain books of accounts
• Prepare tax returns for filing by you or your authorized representative
• Provide general information about business registration processes
• Assist with document preparation and filing
• Offer financial analysis and advisory services

What We DO NOT Do:

• Provide legal advice or legal representation
• Guarantee specific tax outcomes or refunds
• Act as your attorney, registered agent, or legal representative
• Provide certified audit opinions or attestation services
• Make decisions on your behalf without your authorization

4. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information
• Review all documents and filings before submission
• Respond to requests for information in a timely manner
• Pay for services as agreed in your service agreement
• Maintain your own records and backups
• Comply with all applicable laws and regulations

5. Fees and Payment

• Fees for services are outlined in individual service agreements or quotes
• Payment terms are specified in your service agreement
• Late payments may incur additional charges
• We reserve the right to suspend services for non-payment
• Refunds are handled on a case-by-case basis as outlined in your agreement

6. Confidentiality

We maintain strict confidentiality of all client information. We will:

• Not disclose your information to third parties without your consent, except as required by law
• Use your information only for providing our services
• Implement appropriate security measures to protect your data
• Comply with applicable data protection laws

7. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless VIUS Accounting, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms of Service
• Your violation of any law or regulation
• Inaccurate information you provide to us
• Your use or misuse of our services

9. Intellectual Property

All content on this website, including text, graphics, logos, and software, is the property of VIUS Accounting and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

10. Third-Party Services

We may use third-party service providers to deliver our services. We are not responsible for the actions or policies of these third parties. By using our services, you acknowledge that certain data may be processed by third-party providers.

11. Dispute Resolution

Any disputes arising from these terms or our services shall be:

• First attempted to be resolved through informal negotiation
• If unresolved, submitted to binding arbitration
• Governed by the laws of [Delaware, USA for US clients / India for Indian clients]

You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Termination

Either party may terminate services with written notice as specified in your service agreement. Upon termination:

• All outstanding fees become due immediately
• We will return your documents and records upon request
• Confidentiality obligations continue after termination

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the modified terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with your individual service agreement and our Privacy Policy, constitute the entire agreement between you and VIUS Accounting.
